Uninstall whatever is doing it. Or just desable it in the startup (start>run>msconfig).

You say its a part of Mcaffee, does shutting it off disable Mcaffee?

Yes and i have problems with I.e. also when i disable it. Something with the cookies that its restricting, it won't allow normal sites like ebay...

You seem to have a lot of junk in your system, the msconfig would seem your best route but set the offending part to manual not disable...and make a note of each change you make then see if it effects the running of the pc.
My numbers to the process's I can see on your pic are very close though no huge numbers like yours...even the other ones with higher numbers are well in excess of mine. I know my setup isn't perfect but then as I don't use the pc on any form of network so I shut all those sections off, that allows more free cpu space and more free ram.
